1. Introduction

These Terms of Service (“Terms”) govern the use of the website (www.nimble.ca) and services provided by Nimble Information Strategies Inc. (“Nimble,” “we,” “us,” or “our”), a Canadian-owned and operated information management company headquartered in Ontario, Canada.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services. Clients who have executed a separate service agreement with Nimble are subject to the terms of that agreement, which shall prevail in the event of any conflict with these Terms.

2. Services

Nimble provides information management solutions and related technology services, including but not limited to:

  • Digital Mailroom Services: Conversion of incoming physical and electronic mail into indexed, searchable digital files with automated classification, routing, and delivery.
  • Document Scanning and Digitization: High-volume scanning, indexing, and digitization of physical documents, including large-format drawings and specialized media.
  • Data Entry Services: Manual and automated data capture, extraction, and validation from documents and forms.
  • Cognitive Services: AI-powered document classification, data extraction, summarization, and automated routing using private, custom-trained language models hosted within Canadian infrastructure.
  • Email Hosting and Delivery: Outbound email services including SMTP hosting, transactional email delivery (multi-factor authentication codes, password resets, notifications), and email relay services on behalf of Clients.
  • Web and Application Hosting: Hosting of web applications, claims portals, and related infrastructure within Canadian data centers.
  • Active File Management: Secure, cloud-native document access, storage, and lifecycle management.
  • Accounts Payable Processing: Automated invoice capture, validation, data extraction, and posting to enterprise resource planning systems.
  • E-Signature Services: Canadian-hosted electronic signature solutions for document execution.
  • Microfilm and Microfiche Services: Conversion of microfilm and microfiche to digital formats, and creation of new microfilm from digital or physical sources.
  • Accessibility Services: Conversion of documents into accessible formats compliant with applicable accessibility standards.
  • Scanner Sales and Support: Provision, installation, and maintenance of document scanning hardware.

The specific scope, terms, and service levels for each engagement are defined in the applicable service agreement between Nimble and the Client.

3. Eligibility

Our services are available to organizations and individuals who are of legal age to enter into binding contracts in their jurisdiction. By engaging our services, you represent that you have the authority to bind the organization on whose behalf you are acting.

4. Client Obligations

Clients engaging Nimble’s services agree to:

  • Provide accurate and complete information necessary for the delivery of services
  • Ensure that they have obtained all necessary consents and authorizations for the collection, use, and disclosure of personal information provided to Nimble for processing
  • Comply with all applicable laws and regulations in connection with their use of Nimble’s services
  • Maintain the confidentiality of any account credentials, access tokens, or authentication information provided by Nimble
  • Promptly notify Nimble of any unauthorized access to or use of their account or services
  • Use Nimble’s services only for lawful purposes and in accordance with these Terms and any applicable service agreement

5. Acceptable Use

You agree not to use Nimble’s website or services to:

  • Violate any applicable law, regulation, or third-party rights
  • Transmit, distribute, or store material that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Send unsolicited bulk email (spam), phishing messages, or other deceptive communications through Nimble’s email services
  • Attempt to gain unauthorized access to Nimble’s systems, networks, or other clients’ data
  • Introduce viruses, malware, or other harmful code into Nimble’s systems
  • Interfere with or disrupt the integrity or performance of Nimble’s services or infrastructure
  • Use Nimble’s cognitive services or AI-powered tools to process data in a manner that violates applicable privacy legislation or the terms of the applicable service agreement
  • Resell, sublicense, or redistribute Nimble’s services without prior written consent

Nimble reserves the right to suspend or terminate services for any Client or user who violates these acceptable use provisions.

6. Intellectual Property

All content on the Nimble website, including text, graphics, logos, images, software, and documentation, is the property of Nimble Information Strategies Inc. or its licensors and is protected by Canadian and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from our website without prior written consent from Nimble.

AI models, classification algorithms, and cognitive service tools developed or customized by Nimble remain the intellectual property of Nimble unless otherwise specified in a service agreement.

7. Data Handling and Privacy

Nimble’s collection, use, and disclosure of personal information is governed by our Privacy Policy, available at www.nimble.ca/privacy-policy. By using our services, you acknowledge and agree to the practices described in the Privacy Policy.

When Nimble processes personal information on behalf of a Client, the terms of the applicable service agreement and any data processing agreement govern the handling of that information.

8. Data Residency

Nimble stores all Client data at rest within Canada, in facilities operated or contracted by Nimble within Canadian jurisdiction. In limited circumstances, outbound email content may transit through infrastructure located outside Canada for the sole purpose of delivery, subject to encryption in transit and contractual safeguards prohibiting data retention by third-party providers. 9. Security

Nimble maintains comprehensive security controls aligned with ITSG-33 and NIST SP 800-53 frameworks, including encryption, access controls, monitoring, and incident response capabilities. Nimble’s security practices are described in further detail on our Privacy and Security page at www.nimble.ca/privacy-security.

While Nimble implements industry-leading security measures, no system is completely immune to all threats. Nimble shall not be liable for any unauthorized access or data breach that occurs despite the implementation of reasonable security measures.

10. Service Availability

Nimble endeavors to maintain high availability of its hosted services and infrastructure. However, services may be temporarily unavailable due to scheduled maintenance, emergency maintenance, or circumstances beyond Nimble’s reasonable control. Specific availability commitments and service levels, where applicable, are defined in the Client’s service agreement.

11. Confidentiality

Nimble treats all Client data as confidential and does not disclose it to third parties except as described in these Terms, the Privacy Policy, or as required by applicable law. All Nimble personnel with access to Client data are subject to confidentiality obligations and security clearances as described on our Privacy and Security page.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Nimble’s total aggregate liability arising out of or in connection with these Terms or the use of our services shall not exceed the total fees paid by the Client to Nimble for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.
  • Nimble shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of the cause of action or theory of liability.
  • Nimble shall not be liable for any failure or delay in the delivery of email caused by third-party actions, including but not limited to email filtering, blocklisting, or rejection by recipient mail servers.

These limitations apply regardless of whether Nimble has been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless Nimble, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your violation of these Terms, your misuse of our services, or your violation of any applicable law or third-party rights.

14. Term and Termination

These Terms remain in effect for as long as you use our website or services. Nimble may suspend or terminate access to services at any time for violation of these Terms, subject to the terms of any applicable service agreement.

Upon termination of services, Nimble will handle Client data in accordance with the applicable service agreement, including any agreed-upon data return or destruction procedures. In the absence of specific contractual provisions, Nimble will securely destroy Client data within ninety (90) days of service termination.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

16. Third-Party Services

In the course of delivering our services, Nimble may utilize third-party service providers for specific functions, such as email relay, infrastructure hosting, or security services. Nimble ensures that all third-party providers are subject to appropriate contractual safeguards regarding data handling, security, and confidentiality. The use of third-party services does not relieve Nimble of its obligations under these Terms or applicable law.

17. Force Majeure

Nimble shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, power failures, internet disruptions, or actions of third-party service providers.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Nimble with respect to the subject matter hereof. In the event of any conflict between these Terms and a signed service agreement, the service agreement shall prevail.

20. Changes to These Terms

Nimble reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our website or services after the posting of updated Terms constitutes acceptance of the changes.
